Wakefield Terms of Service — the agreement that governs use of our security testing platform.

Updated 2026-06-30

Effective: April 28, 2026 · Last updated: June 30, 2026

These Terms of Service (the "Terms") govern your access to and use of the websites, applications, and services provided by Wakefield, Inc. ("Wakefield", "we", "us", or "our"). Wakefield is a Delaware corporation with its principal place of business at 2261 Market Street STE 85398, San Francisco, CA 94114. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use the services.

These Terms incorporate by reference our Privacy Policy and any order form or written agreement between you and Wakefield. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls.

1. Eligibility and Account Terms

You may use our services only if you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are using the services on behalf of an organization, you represent that you have authority to bind that organization, and "you" in these Terms refers to that organization.

To use most features you must register for an account. You agree to provide accurate and current information, to keep your credentials confidential, and to notify us promptly of any unauthorized access. You are responsible for all activity under your account.

2. Service Description

Wakefield provides an application-security testing platform that performs automated reconnaissance, vulnerability scanning, and related analysis against software systems and digital assets that you own or are authorized to test (the "Service"). Specific features, quotas, and limits are described in your order form.

3. Authorization to Test

This is a security-testing platform. You may only submit, configure, or scan targets — including domains, IP addresses, source-code repositories, applications, and APIs — that you own or for which you have obtained explicit, written authorization from the owner. By submitting a target, you represent and warrant that you have such authorization.

You agree not to use the Service to test, attack, probe, or otherwise interact with any system or network without the owner's authorization. You are solely responsible for any unauthorized testing conducted through the Service, and you agree to indemnify Wakefield against any claims, damages, or liabilities arising from such unauthorized use (see Section 14).

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

  • Use the Service in violation of any applicable law or regulation, including computer-misuse, anti-hacking, export-control, and sanctions laws;
  • Attempt to gain unauthorized access to the Service, other customers' accounts, or Wakefield's underlying systems;
  • Reverse engineer, decompile, or disassemble the Service, except to the extent expressly permitted by law;
  • Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted in writing by Wakefield;
  • Interfere with the integrity, availability, or performance of the Service or the data of other customers;
  • Use the Service to develop a competing product, or to benchmark it for purposes of building a competing product;
  • Submit content that is unlawful, harmful, or infringes any third party's rights;
  • Use automated means to scrape, aggregate, or extract data from the Service except as the Service expressly provides for.

We may suspend or terminate access if we reasonably believe you have violated this Section.

5. Customer Data

"Customer Data" means data, scan targets, and other content you submit to the Service or that the Service generates on your behalf (including scan findings).

You retain all rights to your Customer Data. You grant Wakefield a limited, non-exclusive, worldwide license to host, process, and transmit Customer Data solely as necessary to operate, secure, and improve the Service for you, and to comply with legal obligations. We do not sell Customer Data, and we do not use it to train machine-learning models for the benefit of other customers without your consent. Wakefield may create and use aggregated and de-identified data derived from operation of the Service — which does not identify you, any individual, or your confidential information — to operate, develop, and improve the Service, including to train and improve our models.

Our handling of personal data is governed by our Privacy Policy.

6. Use of AI and Automated Systems

The Service uses large language models and other automated systems to analyze scan results, prioritize findings, and produce recommendations. Outputs from these systems may contain errors, omissions, or fabricated content ("hallucinations"). You are responsible for verifying any AI-generated output before relying on it for security, compliance, or operational decisions. Wakefield makes no warranty as to the accuracy or completeness of AI-generated output. See Sections 12 and 13 for the full disclaimer and limitations of liability.

7. Intellectual Property

The Service, including its software, models, designs, documentation, and trademarks ("Wakefield IP"), is owned by Wakefield or its licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your order form. We reserve all rights not expressly granted.

Scan findings and other outputs the Service generates for you are licensed, not sold, to you for your internal business purposes during and after the term. Wakefield retains all right, title, and interest in the underlying methodologies, algorithms, models, tools, and frameworks used to generate them.

You agree that any feedback, suggestions, or ideas you provide about the Service ("Feedback") may be used by Wakefield without restriction or compensation. You retain no rights in Feedback once provided.

8. Fees and Payment

Wakefield is sold on an enterprise basis with usage-based pricing. Fees, billing frequency, usage meters, and payment terms are set out in the order form negotiated with you. Payments are processed through Stripe; by providing payment information you authorize Wakefield to charge the applicable fees, including any taxes, to your payment method.

Unless otherwise stated in your order form, all fees are in U.S. dollars and are non-refundable except as required by law. We may revise pricing on prospective renewals with reasonable advance notice. If a payment fails or is disputed, we may suspend the Service until the issue is resolved.

9. Term, Cancellation, and Termination

These Terms apply for as long as you use the Service. Subscriptions renew per the term in your order form unless cancelled in advance in accordance with that order form.

We may suspend or terminate your access immediately, without notice, if you breach these Terms, if your use of the Service exposes Wakefield or its other customers to legal or security risk, or if required by law. We may also terminate the Service or any feature on reasonable notice for business reasons.

On termination, your right to use the Service ends. You may export your Customer Data for a reasonable period after termination per the data-retention terms in your order form or, if not specified, within 30 days. After that period, Wakefield may delete Customer Data in the ordinary course consistent with backup-retention schedules.

10. Confidentiality

Each party will protect the other's non-public information with at least the same care it uses for its own confidential information, and will use it only as necessary to perform under these Terms. This Section does not apply to information that is publicly known through no breach, independently developed, or required to be disclosed by law (with reasonable notice where permitted).

11. Service Availability and Modifications

We aim to keep the Service available, but we do not guarantee any specific uptime unless an SLA is set out in your order form. We may modify, suspend, or discontinue the Service or any feature at any time, with reasonable notice for material changes that adversely affect paying customers.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Wakefield disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. Wakefield does not warrant that the Service will detect all vulnerabilities, will be uninterrupted, or will be error-free. Security testing is inherently imperfect; the absence of findings is not evidence of the absence of vulnerabilities.

13. Limitation of Liability

To the fullest extent permitted by law, Wakefield and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or use, whether arising in contract, tort, or otherwise, even if advised of the possibility of such damages.

Each party's total cumulative liability arising out of or related to these Terms will not exceed the total fees paid or payable by you to Wakefield under the applicable order form in the twelve (12) months preceding the event giving rise to the liability.

The exclusions and limitations in this Section do not apply to: your indemnification obligations; your breach of Section 3 (Authorization to Test) or Section 4 (Acceptable Use); your payment obligations; either party's gross negligence or willful misconduct; or either party's infringement or misappropriation of the other's intellectual property.

14. Indemnification

You agree to defend, indemnify, and hold harmless Wakefield, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your unauthorized testing of any system through the Service, (c) your violation of applicable law, or (d) your Customer Data or Feedback. Wakefield will give you prompt notice of any such claim and reasonable cooperation in the defense.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Service will be instituted exclusively in the federal or state courts located in the State of Delaware, and each party irrevocably submits to the exclusive jurisdiction of those courts. Each party irrevocably waives any right to a trial by jury in any action arising out of or relating to these Terms.

Informal resolution. Before filing suit, the parties agree to attempt in good faith to resolve any dispute informally for at least thirty (30) days after written notice.

Equitable relief. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

16. Export and Sanctions

The Service may be subject to U.S. export-control and sanctions laws. You represent and warrant that you are not located in, and will not use the Service from, a country or region subject to comprehensive U.S. sanctions, and that you are not a person on any U.S. government restricted-party list.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, where reasonably practicable, by email or in-product notice. Your continued use of the Service after a change takes effect constitutes your acceptance of the updated Terms.

18. Miscellaneous

These Terms, together with any order form and other documents incorporated by reference, are the entire agreement between you and Wakefield regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent. No waiver of any term will be deemed a further or continuing waiver of that term or any other term. The failure of either party to assert any right under these Terms will not constitute a waiver of that right.
